§6.4 Amendments to Approved Research Projects During Program Year: This section indicates that approval must be obtained from the Research Board to “affect any significant changes in the research direction or allocation of resources.” Please provide a definition for what constitutes a “significant change.”

If the funded consortium has a question about a change in direction that they believe might be viewed as a significant change in the direction of the research, they should bring it to the attention of the Research Board. In this situation, it is better to ask for permission rather than ask for forgiveness.

Audit - The statement made in this clause says "both the Parties and the Research Board shall have the right, at their own expense and upon reasonable notice, to examine at reasonable intervals and during the regular business hours all research documentation and any other books, records and data relating to this Agreement or any Approved Research Projects."

The Synopsis for the Gulf of Mexico Research Initiative identifies RFP-I as pertaining to GRI Years 2-4 (1 June 2011 – 31 May 2014). The RFP states that proposals are due on 11 July 2011. Therefore, please identify the start date to be used by Offerors for GRI Year 2 pricing, since awards will not be in place as of 1 June 2011. Also indicate if Year 2 will be less than 12 months in duration, or whether Years 2, 3, and 4 will each be 12 months in duration.

The last paragraph in the sixth section of Appendix 3 should provide that BP will not acquire any background rights to any type of IP created before the start of any BP funded project, except through explicit disclosure and negotiation asserting terms which are normal for any arm’s length License with a company which has not participated in the creation of such background rights. In many cases it would be likely federal money was involved and thus federal terms will apply.

The RFP says "This RFP, designated RFP I, is devoted to the selection of Research Consortia for GRI Years 2 4 (1 June 2011 31 May 2014)." This implies a June to May annual budget cycle, but the proposal review will not be done until the end of August. The start and end dates used in budgets affects our salary lines, and other items. What is the start of the Year 1 funding cycle?

Referencing the Master Research Agreement (MRA), Sections 2.4 through 2.6, and a separate statement from the MRA that grant and sub-grant agreements shall incorporate the terms of the GRI MRA, please clarify what the payment terms are for incurred costs by the Lead Institution and its Consortium partners.
